Terms of Use

By accessing or using any part of the 360D.AI HEII Platform at portal.360d.ai ("Platform"), you agree to be legally bound by these Terms of Use ("Terms"). These Terms constitute a binding agreement between you and 360 Digital Assets, INC DBA 360D.AI, a Virginia corporation ("Company," "we," "us," or "our").

If you do not agree to these Terms in their entirety, you must not access or use the Platform. We reserve the right to modify these Terms at any time. Your continued use of the Platform following any modification constitutes acceptance of the revised Terms.

360D.AI operates the Human Environment Intelligence Infrastructure (HEII) — a national health intelligence platform currently in MVP demonstration. The Platform showcases the following planned capabilities:

• 360REGISTRY: Patient health record management and care coordination
• Provider Dashboard: Clinical workflow management and patient intelligence tools
• Emergency Portal: Public safety coordination and emergency response logistics
• N.A.I.D.A.: Neural Adaptive Intelligence for Data Analysis — predictive environmental and health modeling
• Operations & Node Intelligence: Infrastructure monitoring, sensor data, and digital twin modeling
• Ecosystem Coordination: Multi-stakeholder network and funding alignment tools

You may use the Platform if you are:

• At least 18 years of age
• A prospective partner, investor, researcher, healthcare administrator, or government stakeholder evaluating the HEII platform
• A survey participant providing voluntary input for platform development research
• An authorized representative of a healthcare organization, agency, or institution

You may not use the Platform if you have been previously banned or suspended by 360D.AI.

You agree to use the Platform only for lawful purposes. You must not:

• Use the Platform for any illegal activity under Virginia, federal, or applicable law
• Attempt to gain unauthorized access to any system, server, database, or account associated with 360D.AI
• Introduce malware, viruses, Trojan horses, or other malicious or harmful code
• Scrape, crawl, harvest, or extract data from the Platform without prior written authorization
• Reverse engineer, decompile, or disassemble any portion of the Platform's technology
• Misrepresent your identity, affiliation, credentials, or authority
• Use the Platform in any way that could damage, disable, or impair its functionality
• Submit false, misleading, or fabricated survey responses
• Use the Platform to harass, threaten, or harm any individual or group

Violations may result in immediate termination of access and referral to law enforcement.

The Platform includes voluntary survey instruments designed to gather input for HEII platform development. By submitting a survey response, you acknowledge:

• Participation is entirely voluntary and you may stop at any time
• Responses may be used in aggregated, anonymized form for research and development
• Survey responses do not constitute a clinical or health consultation
• You are providing truthful and accurate information to the best of your knowledge
• 360D.AI may contact you for follow-up research purposes if you provide contact information

All content, software, technology, branding, architecture, and materials on the Platform — including the HEII framework, N.A.I.D.A. system design, 360REGISTRY architecture, platform interfaces, and all associated documentation — are the exclusive intellectual property of 360 Digital Assets, INC DBA 360D.AI and are protected under U.S. and international copyright, trademark, and trade secret law.

No content from this Platform may be reproduced, distributed, modified, or used without the express prior written consent of 360D.AI. Unauthorized use will be pursued to the fullest extent of the law.

The Platform utilizes third-party services including Google Analytics for usage analytics and Google Fonts and Tailwind CSS CDN for interface rendering. These services operate under their own terms and privacy policies. 360D.AI is not responsible for the practices, content, or availability of any third-party service.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

360D.AI does not warrant that the Platform will be uninterrupted, error-free, or free from harmful components. As an MVP demonstration, features and content are subject to change without notice.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, 360 DIGITAL ASSETS, INC DBA 360D.AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.

Because the Platform does not process payments, our total aggregate liability for any claim shall not exceed one hundred dollars ($100.00 USD).

You agree to defend, indemnify, and hold harmless 360 Digital Assets, INC DBA 360D.AI and its officers, directors, employees, contractors, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of or access to the Platform; (b) your violation of these Terms; or (c) your violation of any third-party rights.

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in Fairfax County, Virginia. You consent to personal jurisdiction in those courts.
